Article 1: Identification of the Parties
These General Terms and Conditions of Sale (“GTC”) govern the commercial relationship between:

Hereinafter referred to as “We Tell Stories” or “the Provider”
AND
Any natural or legal person making use of the services offered by We Tell Stories,
Hereinafter referred to as “the Client”.
The above parties are collectively referred to as “the Parties”.
Article 2: Scope and Acceptance of the GTC
These General Terms and Conditions apply to all services provided by We Tell Stories, particularly in the following areas:
- Audiovisual production (video, animation, motion design, etc.)
- Audio production (podcasts, sound creations, audiobooks, etc.)
- Training, coaching, consulting, workshops
- Any other related service offered to the Client
By accepting a quote issued by We Tell Stories in writing (via email, electronic signature, or handwritten signature), the Client acknowledges having read, understood, and unconditionally accepted these GTC in their entirety.
These GTC prevail over any other general or special terms issued by the Client, unless expressly agreed otherwise in writing and signed by both Parties.
The applicable version of the GTC is available at any time upon request from the Client and on the We Tell Stories website.
Article 3: Quotes, Orders and Validation
3.1 Quotes and Commercial Proposals
All services provided by We Tell Stories are subject to a written quote, issued free of charge.
The quote outlines the nature of the proposed services, the main components of the assignment, and the price excluding VAT.
Deadlines and deliverables may be included for information purposes or defined in a separate document.
3.2 Validity Period of the Quote
Unless stated otherwise, quotes issued by We Tell Stories are valid for a period of fifteen (15) calendar days from the date of issue.
3.3 Order Confirmation
The order becomes firm and final as soon as the Client accepts the quote, by any written means (including email). Confirmation may also result from the commencement of work at the Client’s request. Such validation constitutes full and unconditional acceptance of these General Terms and Conditions.
3.4 Mutual Commitment
By validating the quote:
- We Tell Stories undertakes to perform the services as agreed;
- The Client undertakes to pay the amounts due within the agreed timeframe and to actively cooperate in the successful completion of the assignment (by providing information, feedback, validations, etc.).
Article 4: Pricing, Invoicing and Payment Terms
4.1 Pricing
Service prices are expressed in euros, excluding VAT. The applicable VAT is added in accordance with the legislation in force at the time of invoicing.
Rates are specified in each accepted quote. They may be stated as flat fees, daily rates, or hourly rates depending on the nature of the assignment.
Any additional service not included in the initial quote will be subject to a separate quotation.
4.2 Advance Payment and Invoicing
We Tell Stories reserves the right to request an advance payment of 30% in the following cases:
- For any new Client;
- For any project exceeding €10,000 excluding VAT.
The balance is invoiced upon delivery of the agreed deliverables, or at a project milestone defined in the production schedule.
In the case of long-term or phased projects (more than a month), interim invoices may be issued based on project progress.
4.3 Payment Terms
Invoices are payable within thirty (30) calendar days from the date of issue.
Payment must be made by bank transfer to the account specified on the invoice. No discount is granted for early payment.
4.4 Late Payment
In the event of late payment, penalties shall apply automatically and without formal notice. The Client shall owe:
- Late interest at the statutory rate applicable to commercial transactions, increased by two (2) percentage points;
- A fixed compensation of 15% of the outstanding amount, with a minimum of €65;
This is without prejudice to any additional recovery costs incurred.
We Tell Stories also reserves the right to suspend ongoing services until full payment has been received. A written warning will be issued prior to any suspension, except in cases of urgency.
4.5 Recurring Services and Subscriptions
Certain services may be offered as monthly or annual subscriptions (e.g. podcast hosting, maintenance, reporting).
Unless otherwise specified, these services are automatically renewed upon each expiry date for the same duration.
Termination must be notified in writing at least thirty (30) days before the renewal date.
In case of non-payment on the due date, We Tell Stories reserves the right to immediately suspend the service concerned until regularisation.
Article 5: Deadlines, Client Collaboration and Revisions
5.1 Production Timelines
Production timelines are provided for information purposes in the quote or in a shared schedule agreed between the Parties.
They depend in particular on the Client’s effective collaboration, including:
- the timely provision of necessary elements (briefs, content, logos, texts, access credentials, etc.);
- the validation of project milestones within the agreed timeframes.
We Tell Stories cannot be held responsible for delays caused by:
- late or missing materials from the Client;
- late-stage changes or unexpected additions;
- force majeure or exceptional circumstances affecting project progress.
5.2 Client Obligations
The Client agrees to:
- provide all elements required for the successful completion of the assignment without undue delay;
- provide timely and consistent feedback on project stages, in accordance with the agreed timeline or milestones;
- designate a single point of contact authorised to validate deliverables.
Any delay or failure to meet these obligations may result in revised delivery dates and, if necessary, an adjustment to the quote.
5.3 Delivery and Validation
Unless otherwise specified, deliverables are provided electronically (via download link, transfer platform, or shared Drive folder).
The Client has ten (10) working days from the date of delivery to submit feedback.In the absence of feedback within this period, the deliverable shall be deemed tacitly approved.
If expressly requested, delivery on a physical medium (USB stick, hard drive) may be arranged. Costs related to the purchase, preparation and shipping of such media will be invoiced additionally.
5.4 Included Revisions
Unless otherwise stated in the quote, We Tell Stories includes one (1) revision round per project.
This allows for adjustments based on the Client’s feedback, provided they remain consistent with the initial brief.
Any additional revision request, or any modification that significantly alters the deliverable or the scope of the brief, will require a separate quote.
Unused production time from the initial planning does not entitle the Client to an additional revision round.
Article 6: Modification or Cancellation of the Order
6.1 Order Modification
Any modification to the order initially confirmed must be agreed in writing by both Parties and may result in:
- an adjustment to the production timeline;
- a revision of the quote or the issuance of a supplementary quote.
We Tell Stories reserves the right to refuse a modification if it significantly alters the balance of the assignment or occurs too late in the production process.
6.2 Cancellation, Interruption or Postponement by the Client
In the event of cancellation by the Client before the effective start of production, We Tell Stories will invoice:
- the services already carried out (pre-production, coordination, writing, etc.);
- and a flat-rate compensation of 25% of the remaining unpaid balance, to cover administrative, scheduling, and opportunity costs.
If cancellation occurs less than three (3) working days before a scheduled filming day or any major phase involving external contractors, this compensation may increase to 35%, in addition to any non-refundable costs already incurred by We Tell Stories.
Such costs may include, but are not limited to: equipment or location bookings, subcontractor fees, travel expenses, or any other non-recoverable contractual commitments.
We Tell Stories undertakes to act in good faith to minimise costs, without this constituting an obligation of result.
Any postponement of a production day or a major project phase less than three (3) working days before the scheduled date may be treated as a partial cancellation and invoiced accordingly, especially if the team was already booked or expenses were incurred.
A revised quote may be issued for the rescheduled date if it involves significant adjustments (availability, team, equipment, etc.).
6.3 Cancellation by We Tell Stories
In the event of exceptional circumstances preventing the delivery of the assignment (serious illness, extended unavailability, force majeure), We Tell Stories reserves the right to cancel the mission.
In such cases, any payments already made will be refunded pro rata to the portion of the project not completed, with no further compensation due by We Tell Stories.
Article 7: Confidentiality
We Tell Stories and the Client undertake to maintain strict confidentiality regarding all documents, information, data, and exchanges of a strategic, financial, technical or creative nature shared in the course of the assignment.
This confidentiality obligation applies throughout the duration of the contract and for a period of five (5) years following the end of the collaboration.
Each Party agrees to take all necessary measures to ensure that its employees, contractors, and partners also comply with this clause.
We Tell Stories nevertheless reserves the right to mention the Client’s name and the general nature of the assignment in its professional communication (website, portfolio, commercial proposals), unless expressly objected to in writing by the Client.
Any publication on social media including images of recognisable individuals, company premises, or distinctive signs of the Client (logos, uniforms, etc.) shall require prior approval, unless the visuals are neutral and non-identifiable.
Article 8: Intellectual Property and Usage Rights
8.1 Transfer of Rights
Unless otherwise stated in the quote or contract, and upon full payment of the invoice, We Tell Stories transfers to the Client the exclusive economic rights to the produced works, for an unlimited duration, across all media and territories.
This transfer includes internal, institutional, event-related, and corporate uses by the Client, including distribution on its website, social media channels, communication platforms, and at professional or internal events.
8.2 Advertising or Public Use
Any use for broad advertising purposes (television, cinema, radio, paid online advertising, billboards, sponsorships, etc.) or any large-scale public dissemination outside a corporate context shall be subject to a specific agreement between the Parties, including a complementary rights transfer, which may result in additional invoicing.
8.3 Source Files
Source files (rushes, masters, project files, raw or editable materials) are not included in the rights transfer and remain the property of We Tell Stories, unless otherwise specified in the quote.
They may be provided to the Client under specific conditions and may be invoiced separately.
Unless otherwise agreed, We Tell Stories retains the final deliverables and source project files for a period of three (3) years from final delivery, with no obligation to preserve them beyond that period. Longer-term archiving may be offered as an optional service upon request.
8.4 Reuse and Modification
The Client is authorised to adapt or modify the delivered works at their own discretion and under their sole responsibility.
We Tell Stories accepts no liability for any impact these modifications may have on the quality or consistency of the original work.
Any reuse of the deliverables in a context or for a purpose not initially foreseen must be subject to a separate written agreement.
8.5 Communication and Self-Promotion
We Tell Stories reserves the right to keep a copy of the delivered works and to present them as examples strictly for professional self-promotion purposes (website, portfolio, commercial proposals), in the version delivered to the Client.
The Client may object to such use by submitting a written request, notably for reasons of confidentiality or brand image.
No commercial or large-scale public dissemination shall take place without the Client’s prior consent.
Article 9: Liability and Warranties
9.1 Liability of We Tell Stories
We Tell Stories undertakes to carry out the services ordered with diligence, competence, and in accordance with professional standards.
However, it shall only be held liable in the event of proven fault directly attributable to its performance.
Under no circumstances shall We Tell Stories be held liable for:
- indirect damages, loss of income, or commercial prejudice suffered by the Client;
- any misuse or unauthorised use of the deliverables by the Client or third parties;
- technical issues related to third-party services or tools (hosting platforms, distribution channels, integration systems, etc.).
9.2 Content Provided by the Client
The Client warrants that all texts, images, music, logos, and more generally any content provided to We Tell Stories for the project are either rights-cleared or duly authorised for use.
The Client further warrants that such content does not infringe third-party rights, nor breach public order or accepted standards of decency.
In the event of any claim or legal action, the Client shall bear sole responsibility and indemnify We Tell Stories for any loss or damage incurred.
9.3 Force Majeure
Neither Party shall be held liable for any delay or failure to fulfil its contractual obligations in the event of force majeure (an event that is external, unforeseeable and unavoidable), including but not limited to: major network outages, epidemics, natural disasters, armed conflict, or exceptional governmental measures.
Article 10: Personal Data – GDPR Compliance
The Client and We Tell Stories undertake to comply with the applicable regulations on the protection of personal data, in particular the General Data Protection Regulation (GDPR – EU Regulation 2016/679).
The Client guarantees that any personal data provided to We Tell Stories in connection with the assignment has been lawfully collected and processed.
We Tell Stories undertakes to process such data solely for the purpose of performing the agreed services, to ensure its confidentiality, and to retain it only for the period strictly necessary for the execution of the assignment.
Article 11: Disputes and Applicable Law
11.1 Applicable Law
These General Terms and Conditions are governed by Belgian law. They are written in French. In the event of any discrepancy in interpretation between the French version and any translation, the French version shall prevail.
11.2 Amicable Settlement of Disputes
In the event of a dispute relating to the interpretation or execution of the contract, the Parties undertake to seek an amicable solution, notably through conciliation or mediation, before initiating any legal proceedings.
10.3 Jurisdiction
Failing amicable resolution, any dispute shall fall under the exclusive jurisdiction of the French-speaking courts of Brussels, the location of We Tell Stories’ registered office, unless otherwise required by mandatory legal provisions.
